Agenus is seeking a motivated Corporate Paralegal to join our company at the most exciting time in our 20-year history, as we seek to become a commercial organization. The ideal candidate will have 3 – 5 years’ experience working in a law firm or corporate setting (biotech or pharma experience preferred) to join and support the needs of an experienced dynamic in-house legal team in the areas of Contract Administration and Corporate Governance.
Contract Administration responsibilities include (i) drafting and negotiating standard biotech company contracts (i.e., CDAs, consulting agreements and services agreements), (ii) identifying and escalating contract-related issues and risks to supervisor and internal business partners, (iii) communicating directly with internal business partners regarding pending and existing contracts and (iv) assisting with the management of the company’s contract management system (Agiloft).
Corporate Governance responsibilities include (i) assisting with the production and dissemination of materials for Board meetings, (ii) drafting Board minutes, consents and resolutions and (iii) assisting with SEC filings.
A successful candidate will have excellent organizational and oral communication skills, strong writing and advocacy skills, impeccable attention to detail, a team player with a good sense of humor, strong work ethic, a commitment to professional growth with a strong desire to learn, and able to take on responsibilities and work and thrive in a fast-paced, multi-project environment. BA/BS and Paralegal certificate required. Notary Public a plus.
